1. Acceptance of Terms
Welcome to Planet Invoice (“we,” “us,” or “our”). By clicking “I Agree,” or by accessing or using our software-as-a-service platform, website(s), or application(s) (collectively, the “Service” or “Application”), you (“User” or “you”) acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (the “Terms” or “Agreement”). If you do not agree with any part of these Terms, you must not use the Service.
2. Definitions
- “Planet Invoice” and “Sales Scribe” refers to the invoicing and business software service provided by us, including any updates, modifications, or enhancements.
- “User” or “You” means the individual or legal entity accessing or using the Service, and where the context permits, includes an Invited User.
- “Invited User” means a person or entity authorized by a Subscriber to use the Service.
- “Subscriber” means the person who registers to use the Service, and, where applicable, any entity on whose behalf that person registers.
- “Data” means any data input or imported by you (or with your authority) into the Service or Website.
- “Website” means any website (including all images, written material, software, or databases) owned or operated by Planet Invoice and used to provide or support the Service.
- “Intellectual Property Rights” means any and all rights in patents, copyrights, trademarks, service marks, database rights, moral rights, designs, know-how, and any other intellectual or industrial property rights anywhere in the world, whether registered or unregistered.
- “Subscription Fee” means the monthly, annual, or other periodic fee (excluding applicable taxes and duties) payable by you, in accordance with our pricing, for access to the Service.
3. License Grant & Permitted Use
Subject to your compliance with these Terms, Planet Invoice grants you a non-exclusive, non-transferable, revocable license to access and use the Service solely for your lawful internal business or personal purposes, as applicable. You agree not to resell, lease, sublicense, modify, reverse engineer, or create derivative works based on the Service without our prior written consent.
4. User Accounts & Security
- Account Registration: You may need to create an account to use certain features of the Service. You must provide accurate, current, and complete information when registering and keep such information updated.
- Account Responsibility: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.
- Invited Users: The Subscriber may authorize additional persons or entities to use the Service under their account. The Subscriber remains responsible for any actions taken by these Invited Users.
5. Service Description & Features
Planet Invoice and Sales Scribe are online software platforms that facilitates invoicing, financial calculations, document creation, data storage, and related business processes. We may add, modify, or remove features from time to time.
- Multi-Currency Support: The Service may offer multi-currency and multi-language functionality. Exchange rates are sourced from third-party providers; we do not guarantee their accuracy, completeness, or timeliness.
- Data Backup: While we take reasonable steps to safeguard data, you are responsible for maintaining your own backups. We assume no liability for data loss or corruption.
- Accuracy of Documents: You are responsible for verifying the accuracy of any invoices, financial calculations, or other documents generated through the Service.
6. Payment & Subscription
- Subscription Fees: Certain features or levels of access require payment of a Subscription Fee. Fees are payable in advance of each subscription period and are non-refundable.
- Free Trials: We may offer a free trial to allow you to assess the Service. We reserve the right to discontinue or modify free trials at any time.
- Late Payment / Suspension: If Subscription Fees or other charges are not paid when due, we may suspend or terminate your access to the Service.
- Cancellation: You can cancel your subscription at any time; however, no refund will be provided for the unused portion of any prepaid period.
7. Privacy & Data Protection
- Privacy Policy: Our collection and use of personal data are governed by our Privacy Policy. By using the Service, you agree to that policy.
- GDPR Compliance: We are committed to complying with the General Data Protection Regulation (GDPR) and other relevant data protection laws. We implement appropriate technical and organizational measures to safeguard personal data.
- Data Ownership: You retain all rights to any data you input or upload (“User Content”). By using the Service, you grant us a limited, royalty-free, worldwide license to store, use, modify, and display your User Content solely to operate and improve the Service.
8. Intellectual Property
- Ownership: All Intellectual Property Rights in or to the Service (including software, designs, and documentation) belong to Planet Invoice or its licensors. No rights are transferred to you except for the limited license granted above.
- Feedback: If you submit suggestions, ideas, or feedback to Planet Invoice, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without any obligation to you.
9. User Conduct & Restrictions
- Lawful Use: You agree to use the Service in compliance with all applicable laws and regulations. You shall not use the Service for any unlawful or unauthorized purposes.
- Prohibited Activities: You shall not (i) engage in activities that disrupt or interfere with the Service; (ii) upload or transmit viruses or harmful code; (iii) attempt to access data or accounts that do not belong to you; or (iv) use the Service to infringe the rights of others.
10. Disclaimers
- “As Is” and “As Available”: The Service is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Exchange Rates & Calculations: We make no warranties regarding the accuracy, timeliness, or completeness of exchange rate data or financial calculations. You agree to verify any critical information independently before relying on it.
- No Financial Advice: Any financial or legal information or templates provided are for informational purposes only and not a substitute for professional advice. We are not responsible for decisions you make based on such information.
11. Limitation of Liability
To the fullest extent permitted by law, Planet Invoice shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use—or inability to use—the Service, even if advised of the possibility of such damages. In no event shall Planet Invoice’s total aggregate liability exceed the Subscription Fees actually paid by you (if any) for the preceding twelve (12) months.
12. Indemnification
You agree to indemnify, defend, and hold harmless Planet Invoice, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Service or your breach of these Terms.
13. Term & Termination
- Term: This Agreement remains in effect until terminated by either party.
- Termination by Planet Invoice: We may suspend or terminate your access immediately if you breach these Terms or if we discontinue the Service.
- Termination by You: You may terminate your use of the Service by ceasing all access and use. Upon termination, you must destroy any copies of materials obtained through the Service.
- Survival: Provisions relating to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and any others which by their nature should survive, shall remain in effect after termination.
14. Modifications to the Terms
We reserve the right to modify or update these Terms at any time by posting the revised version on our Website or within the Service. Any changes become effective upon posting. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
15. Governing Law & Dispute Resolution
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict-of-law principles.
- Dispute Resolution: Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts located in England and Wales.
16. Force Majeure
Neither party shall be liable for any delay or failure to perform under these Terms resulting from causes beyond the party’s reasonable control, such as acts of God, war, terrorism, riots, fire, natural disasters, or Internet or telecommunications failures.
17. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary or confidential information received from the other party in connection with the Service. This obligation shall not apply to information that is independently developed, becomes public knowledge without breach, or is disclosed in compliance with a court or regulatory order.
18. Entire Agreement & Severability
These Terms, including any policies referenced herein (e.g., Privacy Policy), constitute the entire agreement between you and Planet Invoice regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals. If any provision is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
